Free Trial & Promotional Offer Terms
We may update these Trial Terms from time to time; the version published on this page, with the "Last updated" date above, is the version that applies. Changes will not shorten a Trial that has already been activated.

1. Who we are
These Free Trial & Promotional Offer Terms ("Trial Terms") are offered by Vanta (Private) Limited ("Vanta", "we", "us"), a private limited company incorporated in Pakistan. HealthEase is Vanta's clinic and hospital management software, offered as a hosted subscription with Windows, Android, and iOS applications. Our marketing website is healthease.app.

2. What the trial is
2.1 The HealthEase free trial (the "Trial") gives an eligible healthcare organisation (the "Customer", "you") free access to the HealthEase service for evaluation purposes, on the terms in this document.
2.2 The Trial is governed by these Trial Terms together with the HealthEase Subscription Agreement and, where you enter patient or clinical data, a data processing agreement ("DPA") between you and Vanta. If you use the Trial, you accept these Trial Terms.
2.3 The Trial is a promotional offer, not a contractual entitlement. Vanta may modify, suspend, or withdraw this promotional offer at any time, including changing eligibility, duration, or limits for future sign-ups. Changes will not shorten a Trial that has already been activated.
3. Trial duration
3.1 The Trial lasts for a limited free trial period from the date your Trial account is activated. The length of your trial period is stated when you sign up.
3.2 The Trial is not paused by non-use. It runs continuously from activation until the end of the trial period.
3.3 Vanta may, at its sole discretion and in writing, extend a Trial. No extension is implied by continued access after the end date.
4. Patient limit: 100 patients per calendar month
4.1 During the Trial, your account is capped at one hundred (100) patients per calendar month. This means that no more than 100 patients may be newly registered in your Trial account in any single calendar month.
4.2 What happens when you reach the cap: once 100 patients have been registered in a calendar month, further patient registration is blocked for the remainder of that calendar month. To register additional patients in the same month, you must upgrade to a paid subscription.
4.3 What is not affected by the cap: reaching the cap does not remove or hide anything. All existing patient records remain readable, and you may continue to work with already-registered patients (appointments, visits, records) subject to the other terms of the Trial.
4.4 The cap resets at the start of the next calendar month.
5. No AI features during the Trial
5.1 No AI features are included during the Trial. AI-assisted capabilities in HealthEase are not part of the Trial and are not enabled on Trial accounts.
5.2 AI capabilities are available only if separately agreed in advance and in writing with Vanta. Any such agreement will address the applicable terms, pricing, and — because AI features may process patient data — the additional consent and data-processing conditions that apply, including the requirement for recorded patient consent to AI processing where identified patient data is involved.
6. No payment card required
6.1 You do not need to provide a payment card or make any payment to start the Trial. The Trial itself is free of charge.
6.2 Billing for paid subscriptions is arranged separately with Vanta and charged in Pakistani Rupees (PKR). Payment for a paid subscription may be made online by card (for example, debit or credit card; online card payments are processed by United Bank Limited (UBL), a licensed commercial bank in Pakistan acting as our payment processor; card details are handled by UBL under its own PCI-DSS-compliant terms, and Vanta does not receive or store full card numbers) or by invoice and bank transfer, as agreed with Vanta. Starting a Trial does not enrol you in any automatic billing, and you will not be charged automatically when the Trial ends.
7. Eligibility and fair use
7.1 The Trial is intended for healthcare organisations (clinics, hospitals, and similar providers) genuinely evaluating HealthEase.
7.2 One (1) Trial per organisation. An organisation and its affiliates, branches, and successor entities are together entitled to one Trial. Creating multiple Trial accounts to circumvent the Trial duration, the patient cap, or the one-per-organisation rule is a breach of these Trial Terms, and Vanta may suspend or terminate the offending accounts.
7.3 Vanta may decline, suspend, or terminate a Trial where it reasonably believes the account is being misused, used unlawfully, used other than for genuine evaluation, or used in breach of these Trial Terms or the HealthEase Subscription Agreement.
8. What happens when the Trial ends
8.1 After the Trial, continued use of HealthEase requires a paid subscription. Contact wecare@healthease.app to arrange one — there is no automatic charge (as explained in the payment terms above).
8.2 If you do not upgrade, your account enters a read-only grace period: you can view and export your data, but cannot create or modify records. After the grace period, the account locks.
8.3 Patient safety rule — patient-record reads are not hard-locked. Even after an account locks, Vanta uses reasonable efforts to preserve read access to patient records so that patient care is not jeopardised by a commercial lapse. This is a design commitment and not a guarantee of uninterrupted access; it operates subject to service availability and to the service-level and liability terms below, which provide the Trial "AS IS" and "AS AVAILABLE". Contact us to arrange access or an export of your data.
8.4 Data belonging to accounts that are not upgraded is retained, and ultimately deleted, in accordance with our data-retention and offboarding practices and any DPA in place. If you decide not to continue, you may request an export of your data before deletion.
9. Your responsibilities during the Trial
9.1 If you enter real patient data during the Trial, you do so as the data controller of that data; Vanta processes it as your data processor under your instructions and the DPA. You are responsible for having a lawful basis (including any required patient consent) for entering patient data into the Trial.
9.2 You are responsible for the accuracy of the data you enter, for managing your users and their credentials, and for compliance with the laws that apply to you.

10. Service level and liability during the Trial
10.1 The Trial is provided free of charge, "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied — including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation — to the maximum extent permitted by applicable law. No support or uptime commitments apply to Trial accounts unless separately agreed in writing.
10.2 To the maximum extent permitted by applicable law, Vanta's total aggregate liability arising out of or in connection with the Trial is limited to the nominal trial liability cap set out in the HealthEase Subscription Agreement (to which Trial liability is tied), and Vanta is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, in connection with the Trial.
10.3 Nothing in these Trial Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence where it cannot lawfully be excluded, or under non-excludable statutory data-protection or consumer rights. Where any exclusion or limitation in these service-level and liability terms is held unenforceable, the remaining exclusions and limitations continue to apply to the maximum extent permitted by applicable law.
10.4 Your indemnity. To the maximum extent permitted by applicable law, you will indemnify, defend, and hold harmless Vanta and its affiliates, officers, and personnel from and against any third-party claims, and any losses, liabilities, damages, fines, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your entry or use of patient or other data in the Trial without a lawful basis or any required consent; (b) the inaccuracy of data you enter; (c) your management of your users, roles, and credentials; (d) any clinical decision, diagnosis, treatment, prescribing, or patient care; or (e) your breach of these Trial Terms, the HealthEase Subscription Agreement, the DPA, or any law that applies to you. This indemnity does not extend to liability arising from Vanta's own fraud or gross negligence, or to any liability that cannot lawfully be shifted to you.
10.5 Force majeure and third-party services. Vanta is not liable for any delay in, or failure of, the Trial caused by events beyond its reasonable control, including internet, hosting, or telecommunications failures, power outages, natural disasters, epidemics, or acts of government or third parties. The Trial runs on third-party infrastructure (including cloud hosting, connectivity, and messaging providers); Vanta does not warrant the performance or availability of any third-party service, and, to the maximum extent permitted by applicable law, is not liable for the acts or omissions of such providers.
11. Governing law
11.1 These Trial Terms are governed by the laws of Pakistan, and the courts of Islamabad have exclusive jurisdiction over disputes arising from them, subject to the rule above that no liability which cannot lawfully be excluded or limited is excluded or limited by these Trial Terms.
