Service & Medical Disclaimer

HealthEase is clinic and hospital management software. It is NOT a medical device. It does NOT provide medical advice, diagnosis, treatment, or clinical decision-making of any kind.

Qualified clinicians remain solely responsible for all diagnosis, treatment, prescribing, and patient care. To the maximum extent permitted by law, Vanta is not liable for clinical outcomes or for decisions made using the software. This summary is subject to the full terms below, including the part of these terms explaining that liabilities which cannot lawfully be excluded are not excluded.


1. Who we are

This Service & Medical Disclaimer (this "Disclaimer") is issued by Vanta (Private) Limited ("Vanta", "we", "us"), a company incorporated in Pakistan. It applies to HealthEase — our clinic and hospital management software, offered as a hosted subscription and as Windows, Android, and iOS applications (together, the "Service") — and to the marketing website healthease.app. It forms part of the HealthEase Subscription Agreement and applies to every user of the Service, including trial users.

2. What HealthEase is — and what it is not

2.1 What it is. HealthEase is administrative and practice-management software. It helps healthcare organisations manage operational workflows such as patient registration, appointments and queues, records administration, billing, inventory, and staff management. It stores, organises, and displays information that the customer's staff enter into it.

2.2 What it is not. HealthEase is not:

(a) a medical device, and it is not registered, cleared, certified, or approved as one by any regulator in any jurisdiction;

(b) a source of medical advice — nothing displayed, stored, generated, printed, or transmitted by the Service is medical advice, a diagnosis, a treatment recommendation, or a clinical opinion;

(c) a clinical decision-making or clinical decision-support tool — the Service does not evaluate, validate, or judge clinical information, and it must not be relied on to make, confirm, or substitute for any clinical judgement;

(d) an emergency service — it must never be relied on in place of emergency procedures, and it is not designed for use where a failure or delay of the software could directly cause death, personal injury, or physical harm.

2.3 Records reflect what was entered. Information in the Service (including patient records, prescriptions, dosages, lab values, and notes) reflects what users entered. The Service does not verify clinical accuracy, completeness, drug interactions, dosing safety, or the currency of any entry. Templates, catalogues (such as disease or product lists), and printed outputs are administrative conveniences, not clinical guidance.

2.4 AI-assisted features (where separately enabled). Any AI-assisted features — which are available only where separately agreed with Vanta in advance in writing, and are never included in the free trial — produce drafts and administrative suggestions only. Any AI-generated document touching patient care requires review and approval by a qualified clinician before it enters the record or is acted upon. AI outputs may contain errors and must never be treated as medical advice or relied upon without independent clinical verification.

3. Clinical responsibility stays with clinicians

3.1 Clinicians are solely responsible for patient care. All diagnosis, treatment, prescribing, dosing, clinical documentation content, referrals, and every other aspect of patient care are, and remain, the sole responsibility of the treating clinicians and the healthcare organisation using the Service.

3.2 The customer organisation is responsible for: the accuracy and completeness of the data its staff enter; verifying any information from the Service before clinical use; its own clinical protocols, safeguards, and record-keeping obligations; managing its users and their access credentials (including keeping them confidential and promptly deactivating departed staff); obtaining and maintaining any patient consents and establishing and maintaining a lawful basis for the processing it directs; and its compliance with the healthcare, professional, and data-protection laws that apply to it.

3.3 Use of the Service does not create any clinician–patient, advisory, or fiduciary relationship between Vanta and any patient or clinician.

4. Availability and accuracy — "as is"

4.1 To the maximum extent permitted by applicable law, the Service and the website are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, statutory, or otherwise. Vanta disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, timely, secure, error-free, or free of defects, or that data will be accurate, complete, or preserved without loss.

4.2 The Service may be unavailable from time to time (including for maintenance, or due to failures of networks, devices, or third-party services). Customers must maintain appropriate operational continuity procedures (for example, paper-based fallback processes) so that patient care never depends on the availability of the software.

4.3 Third-party services, integrations, networks, and devices used with the Service are outside Vanta's control, and Vanta is not responsible for them.

5. No liability for clinical outcomes

5.1 To the maximum extent permitted by applicable law, Vanta is not liable for any clinical outcome, patient harm, misdiagnosis, treatment error, prescribing or dispensing error, or any other consequence of clinical or business decisions made using, with, or in reliance on the Service or its outputs — including decisions influenced by data entered by users, by unavailability of the Service, or by any error, omission, or delay in information displayed by the Service.

5.2 To the maximum extent permitted by applicable law, Vanta excludes liability for indirect, incidental, special, consequential, and punitive damages and for loss of profits, revenue, goodwill, business, anticipated savings, or data (whether direct or indirect), in each case however arising and whether or not Vanta was advised of the possibility of such loss. To the maximum extent permitted by applicable law, Vanta's total aggregate liability arising out of or in connection with the Service — across all claims, whether in contract, tort (including negligence), statute, or otherwise — is capped as set out in the HealthEase Subscription Agreement; where no such cap applies, or to the extent any such cap is unenforceable, Vanta's total aggregate liability for all claims (and its liability for any single claim or series of connected claims) shall not exceed the greater of (i) the total fees (in Pakistani Rupees) paid by the customer for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) the nominal fallback amount stated in the HealthEase Subscription Agreement (which applies where no fees have been paid, including during the free trial). Vanta is likewise not liable for customer misuse of the Service, unauthorised access resulting from the customer's handling of credentials, third-party services or integrations, or events beyond Vanta's reasonable control (force majeure).

5.3 Customer indemnity. To the maximum extent permitted by applicable law, the customer will indemnify, defend, and hold harmless Vanta and its affiliates, officers, and personnel against all claims, demands, losses, liabilities, damages, fines, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the customer's or its users' use of the Service; (b) any diagnosis, treatment, prescribing, dosing, referral, clinical decision, or patient-care outcome; (c) the accuracy, completeness, lawfulness, or content of any data the customer or its users enter into, store in, or process with the Service; (d) the customer's failure to obtain any required patient consent or to establish a lawful basis for the processing it directs; (e) the customer's management of its users and access credentials; or (f) the customer's breach of this Disclaimer, of the HealthEase Subscription Agreement, or of any applicable law. This indemnity does not apply to the extent a loss arises from Vanta's own fraud or from a liability that cannot lawfully be excluded or limited.

5.4 What this Disclaimer does not do. Nothing in this Disclaimer excludes or limits any liability that cannot be excluded or limited under applicable law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence to the extent it cannot lawfully be excluded, or under non-excludable statutory data-protection or consumer rights. This Disclaimer must be read subject to those laws.

6. Relationship to other documents

This Disclaimer supplements — and in the event of conflict on the subject of medical/clinical responsibility, prevails over — the HealthEase Subscription Agreement, the Free Trial & Promotional Offer Terms, and the Refund & Cancellation Policy. Data-protection roles and practices are governed by the Data Processing Agreement between Vanta (as processor) and the customer (as controller of patient data).

7. Governing law

This Disclaimer is governed by the laws of Pakistan, and the courts of Islamabad have exclusive jurisdiction, subject to the rule above that nothing in this Disclaimer excludes or limits any liability or right that cannot lawfully be excluded or limited under applicable law.

8. Changes to this Disclaimer

We may update this Disclaimer from time to time. The current version is always published at healthease.app, and the "Last updated" date above shows when it last changed. Material changes affecting existing customers will be notified as set out in the HealthEase Subscription Agreement.
